Terms and Conditions of Use

These Terms and Conditions of Use (“Terms” or “Agreement”) govern your access to and use of the SOURCEHERE platform and related services (“SOURCEHERE”, “Sourcehere”, the “Platform”, or the “Services”) provided by Online Expos LLC (“OEX”, “we”, “us”, or “our”).
The Platform includes Sourcehere.com and may also include OEX-powered websites, subdomains, mobile applications, digital directories, trade show and event platforms, white-label platforms, company and product directories, messaging and networking tools, search functionality, interactive floorplans, meeting and matchmaking functionality, delegation management functionality, and other services or features provided by OEX.
By registering for, accessing, or using the Platform, you agree to these Terms and our Privacy Policy.
If you access or use the Platform on behalf of a company, organization, exhibitor, event organizer, or other entity, you represent and warrant that you have authority to act on behalf of that entity in connection with your use of the Platform.
If you register another person for the Platform, you are responsible for ensuring that the individual is made aware of these Terms and agrees to them.
1. Eligibility, Accounts and Access
1.1 Eligibility: You must be at least 18 years of age to create an account or use the Platform unless OEX expressly authorizes otherwise in connection with a particular service or event.
1.2 Account Information: You agree to provide accurate, current, and complete information when registering for or using the Platform and to keep such information reasonably up to date.
1.3 Account Security: You are responsible for maintaining the confidentiality and security of your account credentials and for activity occurring through your account. You must notify OEX promptly if you become aware of unauthorized access to or use of your account.
1.4 Personal Accounts: Individual User accounts are personal to the registered User and may not be sold, transferred, shared, or made available to another person without authorization from OEX.
1.5 Access: Registration, subscription, event participation, or other authorization entitles you to access those portions of the Platform made available to you for the applicable period and subject to these Terms.
1.6 Security Measures: OEX may require password resets, additional authentication, account verification, or other reasonable security measures where OEX believes an account or the Platform may be at risk.
2. Companies, Organizations and Company Profiles
2.1 Company Profiles: The Platform allows companies, exhibitors, sponsors, suppliers, and other organizations to create, claim, maintain, or be represented through organizational and company profiles.
2.2 Authority: If you create, claim, administer, edit, or contribute to a Company Profile on behalf of an organization, you represent and warrant that you are authorized to do so.
2.3 Administrators: Organizations may authorize individual Users to manage their Company Profiles. OEX may add, remove, replace, or transfer administrative access where reasonably necessary to address personnel changes, account-security concerns, competing claims of authority, or other legitimate account-management issues.
2.4 Responsibility: Organizations are responsible for information and content supplied by their authorized representatives and for ensuring that individuals acting on their behalf have appropriate authority.
2.5 Accuracy: Companies and Users are responsible for maintaining accurate and current company, product, contact, and other information supplied to the Platform.
3. Acceptable Use and Prohibited Conduct
3.1 Professional Use: The Platform is intended primarily for legitimate professional, commercial, networking, procurement, event, and business purposes. Users must interact with other Users in an appropriate and professional manner.
3.2 Prohibited Communications: Users may not use the Platform to send:
- Spam or excessive, repetitive, or bulk unsolicited communications.
- Harassing, threatening, abusive, discriminatory, obscene, indecent, sexually inappropriate, or otherwise unlawful communications.
- Fraudulent, misleading, deceptive, or impersonating communications.
- Phishing messages, malicious links, malware, or other harmful material.
- Communications intended to intimidate, exploit, deceive, or unlawfully obtain information from another User.
- Other communications that OEX reasonably determines constitute misuse of the Platform or materially interfere with the appropriate use of the Platform by others.
3.3 Messaging Limits: OEX may establish, modify, and enforce limits on the number, frequency, or type of messages, connection requests, or other communications that Users may send through the Platform. Limits may vary depending on the User, account type, event, Platform implementation, security circumstances, or other relevant factors.
OEX may introduce or modify such limits to prevent spam or abuse, protect Users, maintain Platform performance and security, or promote appropriate professional use. Users may not circumvent or attempt to circumvent messaging limits, rate limits, moderation systems, anti-spam controls, account restrictions, or other technical safeguards.
3.4 Automated Access and Data Harvesting: Except where expressly authorized by OEX or permitted by applicable law, Users may not:
- Use bots, scripts, crawlers, scrapers, automated agents, or similar technologies to access the Platform or collect Platform information.
- Scrape, harvest, extract, copy, download, or systematically collect User, company, product, contact, or other Platform data.
- Harvest email addresses or contact information for unauthorized marketing, database creation, resale, or other unauthorized purposes.
- Use Platform data to create or materially enhance a competing directory, marketplace, database, or service.
3.5 Security and Technical Misuse: Users may not:
- Attempt to gain unauthorized access to another User's account, OEX systems, databases, servers, or restricted areas of the Platform.
- Probe, scan, test, circumvent, or interfere with Platform security.
- Introduce viruses, malware, malicious code, or other harmful technologies.
- Intentionally overload, disrupt, damage, or impair the Platform.
- Reverse engineer, decompile, or attempt to derive source code from the Platform except to the extent such restriction is prohibited by applicable law.
3.6 Identity and Misrepresentation: Users may not impersonate another individual, company, organization, government body, event organizer, or other entity or materially misrepresent their identity, affiliation, authority, products, services, or relationship with another party.
3.7 Intellectual Property: Users may not use the Platform to upload, distribute, or otherwise make available material that infringes another party's intellectual property or other legal rights.
3.8 Illegal Activity: Users may not use the Platform to facilitate or engage in activity that violates applicable law.
4. Messaging, Moderation and Enforcement
4.1 Moderation: Communications and activity on the Platform may be subject to automated moderation and, where appropriate, human review for purposes including detecting and preventing spam, abuse, inappropriate or indecent content, fraud, security threats, and violations of these Terms.
4.2 Automated Systems: OEX may use automated systems and internal algorithms to analyze message content and messaging activity, including frequency, volume, repetitive or duplicate messaging, User reports, account activity, and other indicators of potential misuse.
4.3 Human Review: OEX does not routinely have personnel read or monitor private communications between Users. However, specifically authorized OEX personnel may access relevant communications where reasonably necessary to investigate reported or suspected misuse, provide support, protect Users or Platform security, enforce these Terms, or comply with applicable legal obligations.
4.4 Reporting: Users may report spam, harassment, inappropriate content, suspected fraud, impersonation, or other misuse through any reporting functionality provided by the Platform or by contacting
4.5 Enforcement: Where OEX reasonably determines that an individual User has violated these Terms or misused the Platform, OEX may:
- Issue a warning.
- Limit the User's messaging activity.
- Restrict or disable particular Platform functionality.
- Temporarily suspend the User's account.
- Permanently remove the individual User from the Platform.
OEX may consider the nature, seriousness, frequency, and circumstances of the conduct when determining appropriate action. Serious violations may result in immediate restriction, suspension, or removal without a prior warning.
4.6 Paid Organizations: Where an individual User is associated with a company, exhibitor, subscriber, sponsor, or other organization that has a valid paid subscription or listing, restriction, suspension, or permanent removal of that individual User will not, by itself, terminate or otherwise affect the organization's underlying paid subscription or listing.
The organization may assign account or profile-management access to another authorized representative, subject to these Terms.
4.7 Cooperation with Authorities: OEX may preserve or disclose relevant information where reasonably necessary to comply with applicable law, valid legal process, or lawful requests from competent authorities, as further described in our Privacy Policy.
5. Fees, Subscriptions and Payment
5.1 Fees: Certain Platform features, company listings, event participation, advertising, sponsorships, or other Services may require payment.
5.2 Payment: Applicable fees are due according to the payment terms provided at registration, purchase, order, invoice, contract, or other applicable commercial agreement. OEX may restrict or withhold paid Services where required payment has not been received.
5.3 Taxes: Fees are exclusive of applicable taxes unless expressly stated otherwise. Users or organizations are responsible for applicable taxes, duties, or similar charges except taxes imposed on OEX's income.
5.4 Refunds: Except where otherwise expressly agreed by OEX or required by applicable law, fees paid to OEX are non-refundable.
5.5 Subscription Term: Paid subscriptions remain valid for the term specified when purchased or otherwise agreed between OEX and the applicable Subscriber.
5.6 Expiration: OEX may restrict paid features or alter the visibility or functionality of a Company Profile following expiration or non-renewal of a subscription.
6. User and Company Content
6.1 User Content: Users, companies, exhibitors, organizers, and other Platform participants may upload or provide company descriptions, product information, photographs, videos, logos, trademarks, brochures, documents, contact information, profile information, and other materials (“User Content”).
6.2 Ownership: As between OEX and the party providing User Content, that party retains its ownership rights in the User Content, subject to any rights belonging to third parties.
6.3 Licence to OEX: By providing User Content to the Platform, you grant OEX a worldwide, non-exclusive, royalty-free licence to host, store, reproduce, format, adapt for technical purposes, display, distribute, and otherwise use that User Content as reasonably necessary to operate, provide, promote, improve, and support the Platform and applicable event or white-label Services.
This licence includes the right to display applicable User Content across Sourcehere websites, applications, event directories, white-label implementations, and other relevant OEX-operated Services where appropriate to the service being provided.
6.4 Your Responsibility: You represent and warrant that:
- You own the User Content or have the rights and authority necessary to provide it to OEX.
- OEX's permitted use of the User Content will not infringe third-party rights.
- The User Content is not knowingly false, fraudulent, unlawful, defamatory, or materially misleading.
- You have complied with applicable privacy and data protection requirements when providing personal information relating to another person.
6.5 Removal: OEX may remove, restrict, correct, or disable access to User Content where OEX reasonably believes it violates these Terms, applicable law, third-party rights, Platform requirements, or applicable event requirements.
7. Intellectual Property
7.1 OEX Intellectual Property: The Platform, including its software, technology, interfaces, design, functionality, databases, proprietary search technology, trademarks, branding, and OEX-created content, is owned by or licensed to OEX and is protected by applicable intellectual property laws.
7.2 No Transfer: Except for the limited rights necessary to use the Platform in accordance with these Terms, no ownership or intellectual property rights belonging to OEX are transferred to Users.
7.3 Sourcehere Marks: Users may not use SOURCEHERE, Sourcehere, OEX, or other OEX trademarks, logos, or branding without authorization.
7.4 User Intellectual Property: Nothing in these Terms transfers ownership of a User's or organization's underlying trademarks, logos, photographs, product information, brochures, or other proprietary User Content to OEX.
8. Use of Company Names, Logos and Branding
Where you are an exhibitor, subscriber, sponsor, organizer, or other participating organization, you authorize OEX to use names, logos, trademarks, and other branding provided by you to identify and promote your participation on Sourcehere, an applicable event directory, mobile application, white-label Platform, or related service.
OEX may also identify participating companies, exhibitors, clients, or events in reasonable promotional, marketing, sales, or informational materials relating to the Platform or Services.
Nothing in this section requires OEX to use such materials.
9. Search, AI, Automation and Algorithmic Features
9.1 Automated Technology: OEX may use algorithms, artificial intelligence, machine learning, automated systems, and other technologies to provide or improve Platform functionality.
These technologies may be used in connection with search, discovery, ranking, recommendations, moderation, fraud prevention, security, analytics, matching, or other Platform functions.
9.2 Search Results: Search results, rankings, recommendations, matches, or other automated outputs may be influenced by multiple factors and may not always be complete, accurate, or suitable for a User's particular purpose.
9.3 No Guarantee: OEX does not guarantee that automated or AI-assisted functionality will identify every relevant company, product, User, opportunity, or result.
9.4 No Endorsement: Unless expressly identified otherwise, the appearance, position, ranking, or recommendation of a company, product, User, or other content does not constitute an endorsement or verification by OEX.
10. Advertising, Sponsorship and Featured Content
OEX may offer advertising, sponsorships, featured company placements, promoted listings, banners, or other paid visibility within the Platform.
Paid or featured placement may affect the visibility or positioning of particular companies or content. Where appropriate, OEX may identify sponsored, promoted, featured, or advertising content as such.
Purchase of advertising, sponsorship, or featured placement does not guarantee enquiries, leads, sales, meetings, transactions, or other commercial outcomes.
11. User-to-User Interactions and Business Transactions
11.1 Platform Role: Sourcehere facilitates business discovery, communication, networking, and interaction between Users and organizations.
Unless OEX expressly agrees otherwise in writing, OEX is not a party to negotiations, agreements, purchases, sales, partnerships, or other transactions entered into between Users or organizations as a result of using the Platform.
11.2 Due Diligence: Users are responsible for conducting their own due diligence before entering into a business relationship or transaction with another User or organization.
11.3 No Verification Guarantee: OEX does not guarantee the identity, legitimacy, financial standing, capabilities, products, services, representations, regulatory status, or performance of any User or organization appearing on the Platform.
11.4 User Disputes: OEX is not responsible for disputes arising between Users or organizations, although OEX may choose to assist, investigate, restrict accounts, or take other Platform-related action where appropriate.
12. Events, Trade Shows and Digital Directories
12.1 Event Services: OEX may provide the Platform or particular Platform functionality in connection with trade shows, exhibitions, conferences, delegations, virtual events, or other events.
12.2 Event Information: Event information, including exhibitor details, schedules, floorplans, speakers, sessions, meetings, venue information, and other event content, may be provided by event organizers, exhibitors, venues, or other third parties.
OEX does not guarantee the completeness or accuracy of third-party event information.
12.3 Changes: Event organizers may modify schedules, floorplans, exhibitors, speakers, sessions, venues, dates, or other aspects of an event. OEX is not responsible for such changes unless expressly agreed otherwise.
12.4 Recording: Where the Platform provides access to virtual sessions, presentations, meetings, or other protected event content, Users may not record, reproduce, live stream, or broadcast that content without appropriate authorization.
13. White-Label Platforms and Event Organizers
13.1 White-Label Services: OEX may provide Platform technology to event organizers, associations, companies, governments, or other organizations under their own name, branding, domain, application, or other white-label implementation.
13.2 OEX's Role: In such circumstances, OEX provides the underlying technology and related Services, while the applicable organizer or client may be responsible for the event, event rules, event content, exhibitor information, participant information, schedules, commercial arrangements, and other matters relating to its event or organization.
13.3 Additional Terms: Use of a white-label Platform or event service may also be subject to reasonable event-specific rules, notices, or terms imposed by the applicable organizer.
Where event-specific terms conflict with these Terms regarding OEX's technology or legal rights, these Terms will apply to the relationship between the User and OEX unless OEX expressly agrees otherwise.
13.4 Organizer Content: OEX is not responsible for the accuracy or completeness of information supplied by an organizer, exhibitor, sponsor, venue, or other third party.
13.5 Data Protection: The respective data protection roles of OEX and an organizer may vary depending on the service and processing activity. Personal data is processed as described in the OEX Privacy Policy and, where applicable, the organizer's privacy policy and contractual arrangements with OEX.
14. Privacy and Data Protection
OEX collects and processes Personal Data in accordance with its Privacy Policy.
The Privacy Policy describes, among other matters, the types of information we collect, how we use and share information, event-organizer relationships, international transfers, messaging moderation, cookies, data retention, and applicable data protection rights.
By using the Platform, you acknowledge that you have been provided access to the Privacy Policy.
15. Third-Party Services and Links
The Platform may contain or integrate with third-party websites, applications, payment services, mapping technologies, video conferencing services, analytics services, authentication services, APIs, or other external products and services.
OEX does not control third-party services and is not responsible for their availability, content, security, privacy practices, terms, performance, or actions.
Use of third-party services may be subject to separate terms and privacy policies provided by the applicable third party.
16. Platform Availability and Changes
16.1 Availability: OEX seeks to maintain reliable Platform availability but does not guarantee uninterrupted, continuous, secure, or error-free access.
16.2 Maintenance: Access may be temporarily unavailable due to maintenance, updates, security work, infrastructure issues, technical failures, third-party service failures, or other circumstances.
16.3 Changes: OEX may modify, update, replace, add, or remove Platform features, functionality, interfaces, designs, or configurations from time to time.
16.4 No Guaranteed Feature Continuation: Unless expressly agreed in a separate written agreement, OEX does not guarantee that any particular free feature or functionality will remain available indefinitely.
17. Disclaimer of Warranties
To the maximum extent permitted by applicable law, the Platform and Services are provided on an “as is” and “as available” basis.
OEX disclaims warranties, representations, and conditions not expressly stated in these Terms, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, non-infringement, and uninterrupted availability, to the extent such warranties may lawfully be excluded.
OEX does not guarantee:
- Any particular number of views, enquiries, contacts, leads, meetings, or sales.
- That another User will respond to a message or meeting request.
- That participation in Sourcehere or an event directory will result in a business opportunity or transaction.
- The accuracy or completeness of User-generated or third-party information.
- Particular search positions, rankings, recommendations, or results.
- Continuous or error-free Platform availability.
Nothing in the Platform constitutes legal, financial, regulatory, procurement, investment, or other professional advice unless expressly stated otherwise.
18. Limitation of Liability
To the maximum extent permitted by applicable law, OEX and its affiliates, officers, directors, employees, contractors, and agents will not be liable for indirect, incidental, special, exemplary, punitive, or consequential damages, or for loss of profits, revenue, business, business opportunity, goodwill, anticipated savings, or data arising from or relating to the Platform or these Terms.
OEX will not be responsible for loss or damage arising from:
- User Content or third-party content.
- Communications, conduct, or transactions between Users.
- Reliance on company, product, event, search, or other Platform information.
- Unauthorized User conduct.
- Third-party services or integrations.
- Event cancellations, schedule changes, or organizer decisions.
- Platform interruptions or circumstances outside OEX's reasonable control.
To the maximum extent permitted by applicable law, OEX's aggregate liability arising out of or relating to the Platform, Services, or these Terms will not exceed the total fees paid directly to OEX by the party bringing the claim for the applicable Service during the twelve (12) months immediately preceding the event giving rise to the claim.
Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited.
19. Indemnification
To the extent permitted by applicable law, you agree to indemnify, defend, and hold harmless OEX and its affiliates, officers, directors, employees, contractors, and agents from and against third-party claims, liabilities, damages, judgments, losses, and reasonable costs and expenses arising from or relating to:
- User Content provided by you or on your behalf.
- Your violation of these Terms.
- Your infringement or alleged infringement of another party's intellectual property, privacy, or other legal rights.
- Your unlawful, fraudulent, abusive, or unauthorized use of the Platform.
- Business transactions or agreements entered into by you with another User or organization through or as a result of the Platform.
OEX reserves the right to control the defense of a claim subject to indemnification, and you agree to provide reasonable cooperation in connection with such defense.
20. Compliance with Laws
Users must comply with all laws and regulations applicable to their use of the Platform, their User Content, communications, products, services, and business activities.
Users are solely responsible for determining whether their products, services, communications, transactions, exports, imports, or other activities comply with applicable legal and regulatory requirements.
Nothing about the presence of a company, User, product, or service on Sourcehere constitutes a representation by OEX that such company, User, product, or service complies with any particular regulatory requirement.
21. Suspension and Termination
21.1 Individual Users: OEX may restrict, suspend, or terminate an individual User's access as provided in these Terms, including for misconduct, security reasons, legal requirements, or material violations of these Terms.
21.2 Serious Misconduct: Serious misconduct, including fraud, threats, harassment, indecent content, malicious activity, significant spam, security attacks, or attempts to circumvent Platform enforcement measures, may result in immediate suspension or permanent removal.
21.3 Paid Company Subscriptions: Removal of an individual User associated with a paying company does not, by itself, terminate the company's valid paid subscription or listing.
21.4 Effect of Termination: Upon termination of an individual account, the User must cease accessing the Platform through that account and may not create or use another account for the purpose of circumventing the termination.
21.5 Legal Obligations: OEX may restrict or terminate access where required to comply with applicable law, court orders, sanctions, regulatory requirements, or other binding legal obligations.
22. Force Majeure
OEX will not be liable for delay, interruption, or failure to perform caused by circumstances beyond its reasonable control, including natural disasters, severe weather, fire, flood, war, terrorism, civil unrest, government action, labor disputes, epidemics or pandemics, power or telecommunications failures, Internet failures, cyberattacks, failures of third-party infrastructure, or other comparable events.
23. Changes to These Terms
OEX may update these Terms from time to time to reflect changes to the Platform, Services, technology, business practices, legal requirements, or other circumstances.
The date at the top of these Terms indicates when they were most recently updated.
Where reasonably appropriate, OEX will provide notice of material changes through the Platform, by email, or by other reasonable means.
Continued use of the Platform after updated Terms become effective constitutes acceptance of the updated Terms to the extent permitted by applicable law.
24. Governing Law and Jurisdiction
These Terms and any dispute arising out of or relating to them or the Platform will be governed by the laws of the State of New Jersey, United States, without regard to conflict-of-laws principles.
Subject to any mandatory rights or jurisdictional protections that cannot lawfully be excluded, the state and federal courts located in New Jersey will have exclusive jurisdiction over disputes arising from or relating to these Terms or the Platform.
25. General Provisions
25.1 Entire Agreement: These Terms, together with the Privacy Policy and any applicable written commercial agreement between OEX and the relevant party, constitute the agreement governing use of the Platform, subject to any expressly agreed additional terms.
25.2 Severability: If any provision of these Terms is determined to be invalid, illegal, or unenforceable, the remaining provisions will continue in full force and effect.
25.3 No Waiver: Failure by OEX to enforce any provision of these Terms does not constitute a waiver of that provision or OEX's right to enforce it later.
25.4 Assignment: Users may not assign or transfer their rights or obligations under these Terms without OEX's prior written consent. OEX may assign or transfer its rights and obligations in connection with a merger, acquisition, corporate reorganization, sale of assets, or similar transaction, subject to applicable law.
25.5 Relationship: Nothing in these Terms creates an employment, agency, partnership, joint venture, franchise, or fiduciary relationship between OEX and a User.
25.6 No Third-Party Beneficiaries: Except where expressly stated otherwise, these Terms do not create rights enforceable by third parties.
25.7 Survival: Provisions which by their nature should survive termination, including provisions concerning intellectual property, User Content licences where necessary, disclaimers, limitations of liability, indemnification, governing law, and accrued rights and obligations, will survive termination.
25.8 Headings: Headings are provided for convenience and do not affect the interpretation of these Terms.
